These Terms of Service (“Terms”) govern your use of the website at stratis.ltd and any services provided by STRATIS TECH LTD (“STRATIS”, “we”, “us”), a company registered in England and Wales. By accessing this website or enquiring about our services, you agree to these Terms.

STRATIS provides bespoke AI-powered automation systems, including but not limited to: stock management automation, sales operation systems (including Scout), data connectivity solutions, and managed retainer services. All services are subject to a separate written agreement between STRATIS and the client. Nothing on this website constitutes a binding offer or contract.

3. Intellectual Property

All content on this website — including text, graphics, code, design, and the STRATIS brand — is the exclusive property of STRATIS TECH LTD and protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

All systems built by STRATIS remain the intellectual property of STRATIS TECH LTD unless otherwise agreed in writing in a client services agreement. Clients are granted a licence to use the system; ownership of the underlying code and architecture is retained by STRATIS unless expressly transferred.

4. Website Use

You agree not to:

  • Use this website for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the site or its systems
  • Transmit any harmful, offensive, or disruptive content
  • Scrape, harvest, or extract data from this website without permission
  • Impersonate STRATIS or any of its personnel

6. No Warranty on Delivered Systems

Systems delivered by STRATIS are provided “as configured” based on information provided by the client during the audit and build process. The performance and outputs of any delivered system depend on the accuracy, completeness, and timeliness of the data and requirements provided by the client. STRATIS makes no warranty that results will meet the client's commercial expectations where those expectations are based on inaccurate or incomplete information.

7. Client Responsibilities

Where a client engages STRATIS for the delivery of a system, the client is responsible for:

  • Ensuring that all data, requirements, and operational information provided to STRATIS is accurate and complete
  • Confirming that they have the necessary rights, permissions, and consents to share data with STRATIS for the purpose of the engagement
  • Supervising the outputs of any automated system operated on their behalf
  • Ensuring that automated outputs are reviewed and that appropriate human oversight is maintained
  • Notifying STRATIS promptly of any errors, anomalies, or unexpected outputs

8. Limitation of Liability

To the fullest extent permitted by applicable law, STRATIS TECH LTD's total aggregate liability to the client for any and all claims arising out of or in connection with a services engagement shall not exceed the total fees paid by the client to STRATIS in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall STRATIS TECH LTD be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of data, loss of business opportunity, or loss of goodwill, whether arising in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

For use of this website alone (without a formal services engagement), our total liability for any claim shall not exceed £100.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other matter that cannot be excluded or limited by law.

9. Indemnity

The client agrees to indemnify, defend, and hold harmless STRATIS TECH LTD and its officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the client's misuse of any system delivered by STRATIS; (b) the client's provision of inaccurate, incomplete, or unlawfully obtained data to STRATIS; or (c) the client's breach of these Terms or any applicable law or regulation.

10. Third-Party Links

This website may contain links to third-party websites. These are provided for convenience only. STRATIS has no control over the content or practices of third-party sites and accepts no responsibility for them.

11. International Use

STRATIS operates from the United Kingdom and serves clients internationally. Users accessing this website from outside the UK are responsible for compliance with applicable local laws. Nothing on this website constitutes an offer where such an offer would be prohibited by local law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where local law requires otherwise.
